That shield doesn't necessarily mean you have spyware. It doesn't go off even if you remove the spyware, at least it didn't for me.

Just do a system restore about a week back and it'll be gone.

Windows will never ask you to download software......that's a sign of definite spyware......windows only says updates, not new software
